Welcome to Longview Clinical (“we,” “our,” or “us”). By accessing or using our website, software, or services (“Services”), you agree to the terms outlined below. Please read these Terms of Service (“Terms”) carefully, as they form a binding agreement between you and Longview Clinical.

If you do not agree to these Terms, please discontinue use of our Services.


1. Use of Our Services

You agree to use our Services only for lawful purposes and in compliance with all applicable federal, state, and local laws and regulations.

You may not:

Attempt to gain unauthorized access to our systems

Reverse-engineer or misuse our software

Use our Services to transmit unlawful, harmful, or deceptive content

Interfere with or disrupt the functionality of our platform

Use the Services in a way that violates HIPAA or other privacy laws


2. Clinical Responsibility Disclaimer

Longview Clinical provides workflow automation, communication tools, and operational support.
We do not provide medical advice, clinical decision-making, or diagnostic services.

Clinics remain fully responsible for:

Patient care decisions

Medical documentation

Billing accuracy

Compliance with professional standards of practice

Our Services are intended to support, not replace, your clinic’s professional judgment.


3. HIPAA & PHI Compliance

When our work involves Protected Health Information (PHI):

A Business Associate Agreement (BAA) will be executed before PHI is exchanged

Both parties agree to comply with HIPAA Privacy and Security Rules

PHI will only be used for the purposes described in the BAA

You agree not to transmit PHI through non-compliant channels unless explicitly permitted

Longview Clinical uses HIPAA-appropriate tools when handling PHI.


4. Accounts, Access & Security

To use certain features, you may be required to create an account or grant access to your systems (e.g., GHL, email platforms).

You agree to:

Provide accurate information

Keep login credentials confidential

Notify us of unauthorized access

Assume responsibility for all activity under your account

We reserve the right to suspend or terminate access if misuse is detected.


5. Payment Terms

Pricing for our Services is provided at the time of engagement, proposal, or subscription. Unless otherwise stated:

Payments are due upfront or on the recurring schedule selected

Subscription fees are non-refundable

Late or failed payments may result in service suspension

You authorize us to automatically charge recurring payments (if applicable)

Any software licenses (e.g., sub-accounts, automation platforms) billed through Longview Clinical remain active until canceled in writing.


6. Software Licensing

If your clinic uses Longview Clinical–provided software (e.g., CRM automation tools, communication platforms):

Licenses are granted for business use only

Redistribution or unauthorized sharing is prohibited

Access is terminated when your subscription ends

Custom automations remain intellectual property of Longview Clinical unless otherwise agreed


7. Service Changes and Updates

We may update, modify, or improve the Services at any time to enhance:

Security

Functionality

Performance

User experience

Such updates may occur without prior notice.


8. Termination

Either party may terminate the relationship with written notice according to contractual terms.

We may suspend or terminate access immediately if:

Payments are overdue

Terms are violated

Unauthorized access is detected

Harm to our systems or reputation is identified

Upon termination, access to software, workflows, automations, and support will cease.


9. Disclaimer of Warranties

Our Services are provided “as-is” and “as available.”

We disclaim all warranties, express or implied, including:

Merchantability

Fitness for a particular purpose

Non-infringement

Service uptime guarantees

We cannot guarantee uninterrupted service or error-free operation.


10. Limitation of Liability

To the fullest extent permitted by law, Longview Clinical is not liable for:

Direct, indirect, incidental, punitive, or consequential damages

Loss of revenue, data, or business opportunities

Errors arising from third-party tools or software

Misuse of automation tools or workflows

Delays due to technology or provider systems

Our total liability shall not exceed the amount paid for Services in the prior 3 months.


11. Third-Party Services

Our Services may integrate with platforms such as:

GoHighLevel (GHL)

Google Workspace

Email providers

AI tools

Payment processors

These platforms have their own terms and privacy policies.
We are not responsible for outages or issues caused by third-party providers.


12. Intellectual Property

All content, workflows, automation templates, branding, and materials created by Longview Clinical remain our intellectual property unless explicitly transferred in writing.

You may not reproduce, resell, or reuse these materials outside your clinic.


13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

Any disputes shall be resolved in the courts located in Orange County, Florida.


14. Changes to the Terms

We may update these Terms at any time.
The “Last Updated” date will reflect changes. Continued use of the Services indicates acceptance of revised Terms.
